If you run an independent business, boutique agency, consultancy, or trade in the United Kingdom, expanding into the United States offers access to a vastly larger customer base. Whether you want to open a local branch, serve American clients directly, or relocate your family to build your business on the ground, the E-2 Treaty Investor Visa provides a practical, tested route.
At Blue Lake Law, we work with UK small business owners throughout this process. Here is how the rules work in practice, how much capital you genuinely need, and how to prepare your application for the United States Embassy in London.
How Much Capital Do You Actually Need to Invest?
The single biggest misconception among small business owners is that moving to the U.S. requires hundreds of thousands of pounds.
United States immigration law sets no fixed minimum investment figure. Instead, consular officers apply what is known as the proportionality test. Under this rule, the amount you invest is judged against the total cost required to make your particular type of business operational.
The required sum depends entirely on what your business does:
- Consultancies, Agencies, and Digital Services: If you operate a design studio, IT consultancy, recruitment firm, or marketing agency, your setup overhead is naturally lean.
- Physical and Asset-Heavy Businesses: If you are opening a cafe, gym, retail shop, or trade business requiring tools, commercial vans, or specialized machinery, your initial setup costs could be higher.
The legal standard does not require you to spend vast sums. It requires you to prove that the capital you have committed is sufficient to get your venture up and running. If you’re unsure whether you have the right amount of capital needed, speak to our team, as we have helped businesses with smaller investments apply for the E-2 visa.
Your Money Must Be Spent, Not Just Parked
A common error among UK founders is transferring 80,000 pounds into a new American business bank account and assuming the investment test is met.
Consular officers will not approve an application based on unspent cash sitting in a bank. The regulations require your capital to be irrevocably committed and placed at commercial risk before you apply.
To satisfy the review team in London, we help you demonstrate that funds have already been spent on real setup expenses:
- Signing a lease on commercial premises, such as an office, workshop, or retail unit.
- Purchasing necessary equipment, computers, inventory, or machinery.
- Paying essential American suppliers, including marketing specialists, insurers, accountants, and legal advisors.
- Obtaining required municipal and state trade licences.
You can retain a portion of your funds in your business account to serve as operational working capital, but this must be justified by realistic cash-flow projections rather than left as uncommitted cash.
The UK Domicile Test
The E-2 visa for British nationals is based on an 1815 trade agreement between the United States and the United Kingdom. Because of the wording in that treaty, British applicants must meet a requirement that does not apply to most other countries: you must be resident and domiciled in the British Isles.
Holding a British passport on its own is not always sufficient. If you are a British citizen who spent the last several years living abroad as a digital nomad or working in places like Dubai without maintaining a residential base in the UK, consular officers can question your eligibility.
Before applying, we help you prove that your primary home remains in the UK through clear evidence:
- Recent council tax bills and domestic utility statements.
- A current UK tenancy agreement or property ownership deeds from the Land Registry.
- Recent self-assessment tax returns submitted to HM Revenue and Customs.
- Active UK bank accounts showing ongoing domestic expenditure.
You must also hold full British citizenship. Holding indefinite leave to remain or status under the European Union Settlement Scheme does not qualify you under this treaty.
Proving Where Your Investment Funds Came From
Because small business owners fund their businesses from their own earnings rather than institutional investors, consular officers inspect the source of your funds closely. You must demonstrate an unbroken paper trail proving that every pound was earned lawfully and transferred cleanly into your American business account.
We help you gather the standard evidence required by the embassy:
- Savings from Self-Employment or Salary: Verified through your official HMRC SA302 calculations, Tax Year Overviews, and personal bank statements.
- Dividends from a UK Limited Company: Verified through annual company accounts, corporation tax returns (CT600), dividend vouchers, and board minutes approving the payout.
- Property Sales or Remortgages: Verified through completion statements from your conveyancing solicitor, Land Registry records, and mortgage deeds.
- Personal Loans: If you borrow money to fund the business, the loan must be secured against your own personal assets, such as your home in the UK. Unsecured personal loans and loans secured against the assets of the new American business are not accepted.
Cash deposits without an identifiable bank trail or informal loans from family members without formal legal agreements will lead to delays or refusals.
Protecting Your 50% British Ownership
To qualify for an E-2 visa, at least 50% of the American business must be owned by British citizens.
For a sole business owner or two British partners, this rule is straightforward. However, issues can arise if you take on outside help:
- U.S. Business Partners: If you bring in an American co-founder or investor to assist with your launch, their share cannot exceed 50%. You or other British nationals must retain at least 50% ownership and direct control.
- Non-British Spouses: If your spouse holds a different citizenship, allocating equity to them can accidentally lower the British ownership percentage below the legal threshold.
- Corporate Records: The embassy in London will review your ownership papers. We document this through your state formation filings, operating agreements, stock certificates, and, if your UK limited company owns the U.S. entity, your Companies House confirmation statements.
What You Can and Cannot Do on an ESTA During Setup
Before securing your E-2 visa, you will need to travel to the United States to inspect premises, open a business bank account, and meet prospective suppliers. Most British citizens travel under the Visa Waiver Program using an electronic travel authorization (ESTA).
You must observe the legal boundary between permissible setup tasks and working unlawfully:
- Permitted Activities: Attending commercial meetings, negotiating agreements, viewing properties, signing leases, opening bank accounts, and attending trade events.
- Prohibited Activities: Carrying out client work while in the U.S., taking a wage from the U.S. business, managing daily operations, or billing American customers for work performed during your visit.
Consular officers will check your travel history. If your business paperwork shows you were trading and working while visiting on an ESTA, the officer can challenge whether you broke visitor rules.
Applying at the U.S. Embassy in London
All E-2 visa applications for applicants living in England, Scotland, Wales, and Northern Ireland are processed by the Treaty Visa Unit at the United States Embassy in London at Nine Elms. The consulate in Belfast does not handle treaty investor visas.
The application involves two main stages:
The Five-Year Business Plan
Your application must include a comprehensive five-year business plan. For an independent business, this plan does not need to promise millions in turnover. It must, however, prove that the business is not marginal.
Under U.S. immigration rules, a marginal business is one that only generates enough income to support the owner and their family. Your plan must show that your business will generate enough revenue to hire local American workers within three to five years. For most small businesses, showing that you plan to employ two or three staff members over that period satisfies the requirement.
Embassy Review and Interview
All documents must be submitted electronically to the Treaty Visa Unit, strictly adhering to the embassy guidelines on file size and document structure.
The initial review queue in London generally takes between two and three months. Once the officers review your file, you will be invited to attend an interview at Nine Elms. Because your business documents have already been assessed, the interview focuses on confirming your background, discussing your commercial goals, and reviewing your hiring plans.
Visas for Spouses and Family Members
Your legal spouse and unmarried children under 21 years of age can accompany you to the United States on dependent E-2 visas.
Automatic Work Authorization for Spouses
Your spouse is admitted to the U.S. under E-2S status. This status grants automatic permission to work for any employer in the United States, or to run their own business, without needing to apply for a separate work permit. For a small business family, this gives your partner the freedom to generate independent household income from day one.
The Civil Partnership Rule
If you and your partner have registered a civil partnership under the UK Civil Partnership Act, you need to be aware of an important legal distinction.
Civil partnerships have full legal equality with marriage under UK law, but United States federal immigration law recognizes only formal civil marriages. Consular officers cannot issue an E-2 dependent visa to a civil partner.
If you want your partner to accompany you and receive work authorization, you must legally convert your civil partnership into a recognized civil marriage before submitting your visa application.
Key Benefits for UK Applicants: Five-Year Validity and No Reciprocity Fees
British applicants benefit from several practical advantages under the UK treaty:
- Five-Year Visa Validity: While investors from several other treaty nations receive visas valid for only two or three years, British citizens can receive an E-2 visa valid for up to five years with multiple entries.
- No Extra Government Reciprocity Fees: Certain treaty nationals must pay thousands of dollars in extra reciprocity fees upon approval. British citizens pay zero reciprocity fees, paying only the standard visa application fee of $315 per person.
- Two-Year Authorized Stay: Each time you pass through U.S. border control with a valid visa, you are typically granted an authorized stay of up to two years.
